│保密到家！好萊塢超級經紀公司 CAA 宣佈併購競爭對手 ICM，成為十年來最大的經紀公司整併案│

• 好萊塢超級經紀公司 CAA 在完全沒有走漏風聲的情況下完成了一樁重大併購案談判。該公司和他們長年的競爭對手 ICM 今天正式宣佈兩家公司將要合併成為一家公司，結束長久以來的競爭關係。這意味著前者的客戶 Scarlett Johansson、Tom Hanks 、 Steven Spielberg 等藝人和創作者未來將和後者的客戶 Samuel L Jackson、Olivia Colman 和 Uma Thurman 成為同門師兄弟/姊妹。這起併購案將是自2009年 William Morris Agency 和 Endeavor 兩家經紀公司合併以來，好萊塢最大的一起經紀公司整併案。Endeavor 今年4月才剛剛以股票上市的方式來收成了這10年的併購和經營效率提升的成果，目前市值約為125億美元之多。

• 這起併購案的時間正是經紀公司這個行業面臨重重考驗的時刻。過去一年多的疫情使這些經紀公司旗下的藝人、創作者、運動員頓失收入，連帶使 CAA 等經紀公司財務上受到重傷，不得不裁員因應。另一方面 WGA 編劇工會去年群起抵制，也使經紀公司過去經常向劇組收取（而拒絕分給編劇）的灰色地帶收入——組合費不再能名正言順收取。各家經紀公司都在想辦法開源節流，比如 CAA 已經啟動好幾波裁員，Endeavor 則是大膽地試圖跳入運動賭博的市場。

• CAA 的主席 Richard Lovett 除了在這風雨飄搖的時刻親自替自家藝人 Scarlett Johansson 向 Disney 追討《Black Widow 黑寡婦》因為同步上架串流損失的分紅之外，同時也主導了兩個重量級的好萊塢交易：幫《Knives Out 鋒迴路轉》導演 Rian Johnson 和 Daniel Craig （分別都是 CAA 客戶）談下 Netflix 4.5億美元間天價續集合約，以及另一個以製作恐怖電影著稱的客戶 Jason Blum 談下 Universal 投資4億美元的《The Exorcist 大法師》三部曲電影合約。 CAA 另一個大膽嘗試則是這幾天簽下了 NFT 虛擬角色 Jenkins the Valet，將為該角色開發小說、電影、電視、Podcast 等產品。這些案例再再顯示 CAA 很努力趁好萊塢因為串流大戰而兵荒馬亂的時機，試圖用自己的遠見超車保守的片廠。

• CAA 和 ICM 兩家公司的整併談判預計在年底完成，而且可能還需要美國政府的反壟斷業務主管機關的核准。雙方交易的具體數字並未公開。雖然兩家公司有大量業務重疊，但 CAA 仍可因此交易取得 ICM 在運動明星和作家這兩個領域大量的高影響力客戶。兩家的客戶加在一起不僅可以創造更多合作機會，也會使 CAA 取得對片廠、製片公司甚至串流平台更大的談判權，可以繼續推動像《鋒迴路轉》、《新大法師三部曲》之類完全由經紀公司主導的開發案。

• 這樁重大併購案的不尋常之處是全程保密到家，將內線無所不在的各媒體都蒙在鼓裡。許多內部關係人都是在正式消息發佈前幾個小時才被告知。其實雙方根本是在消息發佈前一個小時才剛剛完成談判。至於為什麼要合併，當事人在 Variety 的訪問中否認他們短期內有要仿效 Endeavor 公開發行股票謀利。事實上《黑寡婦》事件正是雙方動心起念想要合併的動機。CAA說他們因此發現即便像他們這樣巨大的經紀公司都還需要集結更多的力量，才能替客戶創造最大利益。

│串流大戰淘汰賽：ViacomCBS 和 NBCUniversal 的囚徒困境│

• 華爾街日報兩天前獨家報導 Comcast 執行長 Brian Roberts 和 ViacomCBS 董事長 Shari Redstone 六月底在紐約的秘密約會。兩人除了針對各自家裡的串流服務遠遠落後對手的慘狀互相取暖之外，可能談及了雙方在串流業務甚至整個媒體集團上的合作。

• 其實就在密會發生的差不多時間前後，華爾街日報就引用消息人士的話指出擁有 NBCUniversal 的電信業者 Comcast 有意透過併購機上盒業者 Roku 或是與競爭對手 ViacomCBS 合作甚至合併，來擴大自己在串流大戰中的量體規模。當時報導稱 Comcast 和 ViaccomCBS 曾密切就交往可能性談過一陣子，但後來 ViacomCBS 推出自家的 Paramount+ 服務之後就失聯了。

• ViacomCBS 和 Comcast 旗下的 NBCUniversal 的危機感來自 WarnerMedia 和 Discovery 正在進行中的合併談判。目前串流大戰的參賽者大約分成三個量級：Netflix 是唯一站上2億以上用戶的哥吉拉量級；1億以上用戶的綠巨人量級則有 Disney+ 和 Amazon Prime Video 兩位選手；剩下用戶人數不到1億的尤達寶寶量級則分別有ViacomCBS 的 Paramount+、 NBCUniversal 的 Peacock、WarnerMedia 的 HBO Max 和 Apple 的 Apple TV+。問題在於 Amazon 正在併購 MGM，WarnerMedia 則準備跟 Disncovery 合併，也就是說 HBO Max 隨時可能因為新買的升級道具而脫魯，留下4200 萬用戶（其中絕大多數是免費用戶）的Peacock 和3600萬用戶的 Paramount+ 以及 Apple TV+留在這個註定要被淘汰的魯蛇量級。

• 今天這篇 CNBC 報導是這幾天最詳盡的分析，大概是因為同屬 Comcast 集團最能了解這種沒有出路的危機感。作者認為 Peacock 和 Paramount+ 都正準備往國際市場擴展，如果兩個串流品牌能整合起來一起搭售，合併的片庫規模將使他們在國際市場上競爭力大增。

• 服務整合之外的其他選項是併購。ViacomCBS 和 NBCUniversal 如果能合併成一家公司，當然就會使他們脫離註定被淘汰的魯蛇量級，爭取到進入串流大戰決賽的最後一張門票。不過雙方集團內各自都有受到公共政策高度管制的無線電視台 NBC 和 CBS，整併成一家公司之後勢必會被主管機關要求剝離其中一家無線電視台（避免無線電視台頻譜過度集中於一家財團）。不論剝離哪一家電視台，對整併後的新公司損失都非常大：CBS 擁有 NFL 和 NCAA 轉播權，NBC 也有部分 NFL 轉播權，更有各種廣受歡迎的 NBC 電視劇。

• 他們還有一個選項，就是加入2022年會出現的準哥吉拉怪獸級公司 Warner Bros. Discovery。因為 Warner Bros. Discovery 集團內都是有線電視台，沒有無線電視台業務，因此選擇加入他們就不會被主管機關要求剝離。然而 ViacomCBS 和 NBCUniversal 的囚徒困境就出現這個版本的劇本中：關鍵是 Warner Bros. Discovery 不需要同時併購 ViacomCBS 和 NBCUniversal ，因為同質性太高。所以誰能最後成功加入 Warner Bros. Discovery 陣營，被拋下的另一家就準備在完全沒有備用劇本可用的狀況下等死。

• 不論哪一個劇本，都還必須接受 Joe Biden 政府連續任命的 FTC 聯邦貿易委員會和司法部反托拉斯業務主管兩位長期對科技巨頭不友善的官員這一道關卡（主管FTC的官員是亞馬遜的宿敵，主管司法部反壟斷業務的司法部助理部長則是Google的死對頭）。雖然他們主要都是衝著 Amazon、Facebook、Apple 和 Goole 等企業而來，但純粹媒體業的併購案也難保不會被兩個美國反壟斷業務主管機關用放大鏡檢視。一切只能等明年 WarnerMedia 和 Discovery 的合併是否觸發反壟斷審查來判斷了。

• 歷史正在重複1918年西班牙流感之後好萊塢大亨們積極併購重組受到疫情重傷的上下游企業的過程。只是如今 COVID-19 疫情未結束，哥吉拉怪獸 Netflix 繼續肆掠，這一波的整併與其說是趁勢集結壯大，不如說是盡可能延後自己被淘汰的順位，讓不小心落單的同業比自己先死。以生存為前提的交往大賽正式開始！
